Portal Terms of Use

This document is provided for general operational use and should be reviewed by qualified legal counsel before or promptly after public publication.

These Portal Terms of Use ("Portal Terms") govern access to and use of the secure case portal operated by Neutral Point Arbitration Services LLC ("Neutral Point Arbitration Services," "we," "us," or "our"). By accessing the portal, you agree to these Portal Terms.

Invitation-only access

The portal is available by invitation only, to authorized participants in a specific matter. There is no public self-registration, and access to the portal does not, by itself, grant access to any particular case.

Accounts and credentials

  • You must be eligible and authorized to use the portal for the matter to which you are invited.
  • You agree to provide accurate account information and to keep it current.
  • You are responsible for maintaining the security of your credentials and for activity under your account.
  • You may not share credentials or allow others to use your account.

Case-scoped access

Access is limited to the matter to which you are invited. You have no right to access unrelated cases, and you agree not to attempt to do so.

Confidentiality and uploaded materials

  • You are responsible for handling case information consistent with your confidentiality obligations.
  • You represent that you have the authority to upload materials you submit.
  • You agree not to upload unlawful, malicious, infringing, or harmful content.

Prohibited uses

You agree not to engage in, and not to attempt:

  • unauthorized access;
  • credential sharing;
  • malicious uploads;
  • unlawful content;
  • interference with portal operation;
  • scraping or automated extraction;
  • bypassing authentication, authorization, access controls, database access rules, or storage restrictions.

Security monitoring and audit logging

To operate and protect the portal, we maintain audit logging and may monitor for security and integrity purposes, consistent with applicable law.

Availability

We do not guarantee uninterrupted or error-free access to the portal. Access may be suspended, restricted, or terminated where reasonably necessary to protect the service, comply with law, or address misuse.

Electronic communications

By using the portal, you agree that we may communicate with you electronically in connection with your account and the matter.

Retention and case closure

Portal data and uploaded materials may be retained according to case requirements, party instructions, applicable law, dispute-resolution obligations, security needs, and administrative necessity. When a matter is closed, portal access may be terminated.

Ownership and license

As between you and us, you retain ownership of the materials you upload. You grant us a limited license to host, store, process, and display those materials solely as necessary to operate the portal and administer the matter.

Third-party infrastructure

The portal relies on third-party infrastructure and service providers, including cloud hosting (Vercel), database, authentication, and storage services (Supabase), email delivery (Resend), and payment processing (Stripe). Their services are governed by their own terms.

Disclaimers and limitation of liability

The portal is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim implied warranties and will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the portal. Nothing here limits liability that cannot be limited under applicable law.

Governing law and engagement terms

These Portal Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. They operate alongside the written engagement terms for a matter; where a specific engagement letter, appointment letter, or scheduling order conflicts with these Portal Terms as to that matter, the written engagement terms control for that matter.
